การหลีกเลี่ยงการใช้คำสรรพนาม (Pronoun) แทนคำนาม (Noun) ในการแปลเอกสารทางกฏหมาย

การใช้คำสรรพนามแทนคำนามนั้น ไม่เป็นที่นิยมในการใช้ภาษาอังกฤษทางกฏหมายในสัญญาหรือตัวบทกฏหมายต่างๆ เพราะอาจก่อให้เกิดความสับสนและเข้าใจผิดได้ง่าย ดังนั้น จึงควรหล

ีกเลี่ยงการใช้คำสรรพนามแทนคำนามให้มากที่สุดเท่าที่จะทำได้ เช่น

During the term of this Agreement, the Licensor shall convery know-how to the Licensee by supplying the technical document to him or by providing technical training to his personnel at any time when agreed by both parties from time to time after he has received the down payment specified hereunder.

คำว่า "he" "his" และ "him" ในประโยคข้างต้นไม่ควรนำมาใช้เพราะอาจทำให้เกิดความสับสนว่าหมายถึง Licensor (ผู้ให้อนุญาต) หรือ Licensee (ผู้รับอนุญาต)

ดังนั้น เพื่อหลีกเลี่ยงความสับสนดังกล่าว จึงควรใช้คำว่า Licensor หรือ Licensee แทนคำสรรพนามเหล่านั้นเพื่อให้ความหมายที่ชัดเจนขึ้น

เช่น

During the term of this Agreement, the Licensor shall convery know-how to the Licensee by supplying the technical document to the Licensee or by providing technical training to the Licensee's personnel at any time when agreed by both parties from time to time after the Licensor has received the down payment specified hereunder.

การใช้คำว่า "Shall" ในเอกสารทางกฏหมาย 

โดยหลักไวยากรณ์ภาษาอังกฤษทั่วไป คำว่า "Shall" จะใช้กับประธานที่เป็นสรรพนามคำว่า "I" หรือ "We" แต่ในภาษาอังกฤษทางกฏหมายนั้น คำว่า "Shall"ถือเป็นลักษณะพิเศษ โดยจะนำมาใช้ในสัญญาหรือบทกฏหมายโดยไม่จำกัดว่า

ประธานจะเป็นสรรพนามคำว่า "I" หรือ "We" หรือไม่ และจะมีความหมายที่เป็นอนาคตในเชิงบังคับในลักษณะที่คล้ายกับคำว่า "must" โดยจะแปลว่า "จะต้อง" หรือ "ให้......(ทำอย่างนั้น/อย่างนี้ " เช่น

The Seller shall deliver the products hereunder to the Buyer at the factory of the Buyer.

The Buyer shall have the right to inspect the products which are delivered by the Seller at the Buyers's factory.

อย่างไรก็ดี คำว่า "must" ก็ยังคงสามารถนำมาใช้ในสัญญาได้ เช่น ในกรณีของขอสัญญาบางข้อซึ่งมิได้เป็นเรื่องที่คู่สัญญาต้องปฎิบัติต่อกัน แต่เป็นหน้าที่ที่คู่สัญญาต้องปฏิบัติตามกฎหมายเยู่แล้ว เช่น การเสียภาษีอากร เป็นต้น ก็สามารถใช้คำว่า must ได้ เช่น

Each party hereto must be responsible for any tax imposed by the law on their respective incomes.

หลักการแปลเอกสารทางด้านกฎหมาย (1) - Force majeure

หัวข้อหนึ่งที่พบบ่อยในการแปลสัญญาก็คือข้อที่เรียกว่า Force majeure

Force majeure - หมายถึงเหตุสุดวิสัย ซึ่งในสัญญาจัดเป็นข้อยกเว้นในกรณีที่คู่สัญญาฝ่ายหนึ่งฝ่ายใดไม่สามารถปฏิบัติตามข้อกำหนดในสัญญาได้เนื่องจากมีเหตุสุดวิสัย (Force majeure )

 ที่อยู่นอกเหนือการควบคุมของคู่สัญญา ทำให้คู่สัญญาฝ่ายนั้นๆ ไม่สามารถปฏิบัติตามสัญญาได้ ในกรณีที่เกิดเหตุสุดวิสัยดังกล่าว คู่สัญญาฝ่ายที่ไม่สามารถปฏิบัติตามสัญญาได้เพราะเหตุสุดวิสัยนั้นย่อมไม่ถือว่าผิดสัญญา

โดยเหตุสุดวิสัยเช่นว่านี้อาจเป็นเหตุธรรมชาติ (act of god) เช่น น้ำท่วม (flood) อัคคีภัย (fire) ภูเขาไฟระเบิด (eruption) พายุ (storm) หรืออาจเป็นเหตุที่เกิดจากการกระทำของมนุษย์ก็ได้ เช่น สงคราม (war) การนัดหยุดงาน (strike) การก่อความไม่สงบ (civil disturbance) เป็นต้น

ตัวอย่างการแปลสัญญาเป็นภาษาอังกฤษในข้อที่เกี่ยวข้องกับ Force majeure

A party hereto share be excused from its obligations hereunder when and to the extent that performance thereof is delayed or preserved by any force majeure event, that is any event beyond the reasonable control of a party and which is unavoidable notwithstanding the reasonable are of the party affected, and shall include, without limitation, acts of government, force of nature, fire, explosion, geological change, storm, flood, earthquake, tidal wave, lighting or other acts of God or act of war, strike, embargo, civil disturbance, civil war, riot or insurrection.

ถึงแม้เหตุสุดวิสัยจะเป็นข้อยกเว้นในการบังคับให้เป็นไปตามสัญญาก็ตาม คู่สัญญาอาจตกลงกันไว้ในสัญญาก็ได้ว่า หากเหตุสุดวิสัยนั้นมีอยู่เป็นเวลานานเกินสมควร เช่น 30 วัน หรือ 60 วัน ก็ให้สัญญาเป็นอันเลิกกัน โดยคู่สัญญาแต่ละฝ่ายไม่มีสิทธิเรียกร้องจากคู่สัญญาอีกฝ่ายได้ เช่น

The party affected by any such force majeure event which seeks to excuse its performance under this Contract or under any of the provisions hereof shall promptly notify the other party advising the latter of the excuse and the steps it will take to complete such performance. A party seeking the excuse will be excused from such performance to the extent such performance is delayed or prevented provided that the party so affected shall use utmost reasonably practical efforts to complete such performance. Notwithstanding the foregoing, should such forece majeure event remain more than 30 days as from the date of such notification thereof, this Contract shall terminate.
